1. Introduction
These Terms of Service ("Terms") govern your access to and use of the services, websites, and applications (collectively, the "Services") provided by Boundary Control Ltd ("we", "us", "our"), a company registered in England and Wales.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
These Terms constitute a legally binding agreement between you and Boundary Control Ltd. Please read them carefully before using our Services.

Boundary Control provides enterprise AI control infrastructure and related services, including but not limited to:
- Enterprise AI control plane and policy enforcement platform
- Real-time data classification and tokenisation
- MCP (Model Context Protocol) security and control
- AI compliance and audit tooling
- Integration consulting and deployment services
The specific scope and deliverables for services will be detailed in a separate Statement of Work or service agreement.
4. Account Terms
Where our Services require account registration:
- You must provide accurate, complete, and current information
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorised access or security breach
- You are responsible for all activities that occur under your account
- We reserve the right to suspend or terminate accounts that violate these Terms
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services.
5. Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services in any way that violates applicable laws or regulations
- Attempt to gain unauthorised access to our systems or networks
- Interfere with or disrupt the integrity or performance of the Services
- Transmit any malware, viruses, or harmful code
- Use the Services to infringe upon the rights of others
- Reverse engineer, decompile, or disassemble any part of the Services
- Use the Services to develop competing products or services
- Misrepresent your identity or affiliation with any person or entity
6. Intellectual Property
Our Intellectual Property
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software, and documentation, are owned by Boundary Control Ltd and are protected by copyright, trademark, and other intellectual property laws.
Your Content
You retain ownership of any content you submit through our Services. By submitting content, you grant us a limited licence to use, process, and store that content solely for the purpose of providing the Services to you.
7. Fees and Payment
For paid Services:
- Fees are as quoted in your service agreement or as displayed on our website
- All fees are quoted exclusive of VAT unless otherwise stated
- Payment terms are 30 days from invoice date unless otherwise agreed
- We reserve the right to suspend Services for overdue payments
- Fees are non-refundable except as required by law or stated in your agreement
For consulting services, any out-of-scope work will be agreed in writing before commencement and billed separately.
8. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary or sensitive information disclosed by the other party in connection with the Services. This includes, but is not limited to:
- Business strategies and plans
- Technical specifications and security assessments
- Customer lists and data
- Financial information
Confidentiality obligations do not apply to information that is publicly available, independently developed, or rightfully received from third parties without restriction.
9. Warranties and Disclaimers
We warrant that our Services will be performed with reasonable skill and care in accordance with generally accepted industry standards.
Except as expressly stated in these Terms:
- Our Services are provided "as is" without warranties of any kind, whether express or implied
- We do not warrant that the Services will be uninterrupted, error-free, or completely secure
- Security assessments identify issues known at the time of assessment; they do not guarantee the absence of all vulnerabilities
- We do not warrant that our Services will meet your specific requirements unless expressly agreed in writing
Nothing in these Terms excludes or limits warranties which may not be lawfully excluded or limited under English law, including the Consumer Rights Act 2015 where applicable.
10. Limitation of Liability
Subject to the provisions below, our total liability arising from or in connection with these Terms and Services shall not exceed the greater of:
- The total fees paid by you for the relevant Services in the 12 months preceding the claim; or
- £1,000
We shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from your failure to implement our recommendations
- Damages caused by third-party actions or services
Important: Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded or limited under English law
These limitations apply to the fullest extent permitted by law under the Unfair Contract Terms Act 1977 and Consumer Rights Act 2015.
11. Indemnification
You agree to indemnify and hold harmless Boundary Control Ltd, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of the Services
- Your breach of these Terms
- Your violation of any applicable law or regulation
- Your infringement of any third-party rights
12. Term and Termination
Term
These Terms commence when you first access or use our Services and continue until terminated by either party.
Termination by You
You may terminate your use of the Services by ceasing to use the Services and, if applicable, closing your account.
Termination by Us
We may suspend or terminate your access to the Services immediately if:
- You breach any material provision of these Terms
- You fail to pay any fees when due
- We are required to do so by law
- We discontinue the Services (with reasonable notice where practicable)
Effect of Termination
Upon termination, your right to use the Services immediately ceases. Provisions that by their nature should survive termination shall survive, including intellectual property rights, confidentiality obligations, limitations of liability, and dispute resolution.
13. Force Majeure
Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of any material changes by:
- Posting the updated Terms on our website
- Updating the "Last updated" date at the top of this page
- Sending you an email notification where you have registered an account
Your continued use of the Services after any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you should discontinue use of the Services.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the other provisions of these Terms, which shall remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Boundary Control Ltd regarding your use of the Services.
Any terms and conditions contained in your purchase order or other documentation that are additional to or different from these Terms are expressly rejected unless agreed to in writing by us.
18. No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.
19. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
